ShippApp · Version 2 · Effective October 9, 2026

Salesperson Agreement

In plain English

  • You're an independent salesperson who refers shippers and carriers and earns the commission shown in the app.
  • Sell honestly: never promise prices, discounts or terms ShippApp hasn't approved.
  • Accounts you bring in are ShippApp's customers. Don't move them to another company or platform while you work with ShippApp and for 24 months after — that forfeits unpaid commission and costs at least $5,000 per account.
  • Keep it private: account and pricing details are confidential.

This summary is for convenience; the full text below is what applies.

When you sign, you confirm each of these separately

  • I am an independent salesperson, not a ShippApp employee, and I will never promise prices or terms ShippApp hasn't approved.
  • I understand accounts I refer are ShippApp's customers, and moving them elsewhere within 24 months forfeits my unpaid commission and costs at least $5,000 per account.

1. This agreement

This Salesperson Agreement is between ShippApp LLC ("ShippApp") and you, an independent salesperson who refers shippers and carriers ("Accounts"). It adds to the ShippApp Terms of Service and Privacy Policy, which also apply.

2. Independent contractor

You are an independent contractor, not an employee, agent or partner of ShippApp. You choose your own hours, methods and place of work, may sell for other businesses that don't compete with ShippApp, pay your own expenses and taxes, and may not sign contracts or make promises for ShippApp. You must give a W-9 before commissions are paid.

3. Commissions

You earn the commissions described in the Platform for Accounts properly credited to you through your referral link or code, on loads completed and paid. ShippApp may change the commission program for the future with notice. No commission is earned on loads that are cancelled, refunded, unpaid or disputed, and ShippApp may set off chargebacks, overpayments and amounts you owe against commissions.

4. Honest selling

Describe ShippApp accurately; follow the law, including anti-spam, telemarketing and text-message consent rules; never offer rates, discounts or terms ShippApp hasn't approved; and never pressure anyone. ShippApp may decline any Account.

5. Accounts stay with ShippApp

Accounts you refer, and Accounts you learn about through ShippApp, are ShippApp's customers. While this agreement is in effect and for 24 months after it ends, you will not, directly or indirectly (including through another company, broker, carrier or platform), solicit or move any such Account to ship or haul freight outside ShippApp, or encourage it to reduce or stop using ShippApp.

Example: you refer a shipper, then join a competing broker. You may not invite that shipper to use the competitor.

There is no buy-out. If you do: all unpaid commissions on that Account are forfeited, and Section 7 of the Terms applies, including liquidated damages for each Account of the greater of $5,000 or 35% of the gross freight revenue from that Account outside ShippApp during the restricted period, plus an injunction, attorneys' fees and costs.

6. Confidentiality

Account identities, contacts, volumes, rates, margins and ShippApp's pricing are confidential. Use them only to refer Accounts to ShippApp.

7. Ending

Either party may end this agreement on notice. Commissions already earned on loads paid before the end are paid on the normal schedule unless forfeited. Sections 3 to 6 continue after it ends.
